This Non Exclusive YouTube Distribution Licence Agreement is entered into between Gay Films Matter, a media platform based in the United Kingdom, and the submitting filmmaker or authorised rights holder. By submitting a short film and accepting these terms, you agree that this agreement is conditionally binding at the point of submission and becomes fully legally binding only upon acceptance and publication of the Short Film on the Gay Films Matter YouTube channel. If the Short Film is not accepted or is not published on YouTube, this agreement shall be void in its entirety and neither party shall have any continuing obligations.
For the purposes of this agreement:
Short Film refers to the submitted short form audiovisual work and all associated audiovisual materials. YouTube Channel refers exclusively to the official Gay Films Matter YouTube channel. Licence refers to the non exclusive rights granted under this agreement solely for YouTube publication.
Gay Films Matter accepts high quality short films under 40 minutes in length. Short Films must focus primarily on gay male stories, including bisexual and male to female trans narratives. Documentary short films are welcome. All submissions are subject to review and approval at the sole discretion of Gay Films Matter.
Submission of a Short Film constitutes an offer to license the Short Film for YouTube publication only under the terms of this agreement. No rights are granted unless and until the Short Film is accepted and published on the Gay Films Matter YouTube channel.
Upon acceptance and publication of the Short Film, you grant Gay Films Matter a non exclusive, worldwide, royalty bearing licence to upload, host, publicly display, perform, promote within YouTube, and monetise the Short Film solely on the Gay Films Matter YouTube channel.
This licence is strictly limited to YouTube publication. No rights are granted for distribution, licensing, or exploitation on any other platform, website, streaming service, or media channel.
This licence becomes effective only once the Short Film is published on the YouTube Channel. If the Short Film is rejected or not published, no licence is granted and this agreement is void.
This licence is non exclusive. You retain full ownership of the Short Film and may distribute or license it elsewhere without restriction.
You represent and warrant that:
• You are the sole owner or authorised rights holder of the Short Film • The Short Film does not infringe any third party intellectual property or personal rights • All contributors, performers, and participants have granted all necessary permissions • No additional approvals, licences, or payments are required for lawful YouTube publication and monetisation
Gay Films Matter acquires no ownership interest in the Short Film.
You confirm that all music, audio, footage, images, and third party content included in the Short Film are properly licensed for worldwide digital distribution and monetisation on YouTube. Any copyright claims, takedowns, demonetisation, revenue loss, or disputes arising from unlicensed or improperly licensed content remain your sole responsibility.
All Short Films must comply with YouTube content and monetisation policies. Content that may result in age restrictions, limited advertising, or demonetisation may be declined, removed, or require edits at the discretion of Gay Films Matter. Gay Films Matter reserves the right to refuse publication or remove a Short Film from YouTube where compliance is not possible.
Where monetisation is permitted, advertising revenue generated by the Short Film through YouTube will be shared on a 50 percent basis, calculated from net revenue actually received by Gay Films Matter from YouTube.
Gay Films Matter does not guarantee monetisation, advertising eligibility, revenue levels, or minimum earnings.
Payments are made quarterly every three months. After a Short Film is published on YouTube, a full three month earning period must be completed before the Short Film becomes eligible for payment.
Payments are issued on the 1st day of the month following the completed three month period. For example, a Short Film published on January 1 will receive its first payment on April 1.
All payments are issued via PayPal only. You are responsible for ensuring that a valid and up to date PayPal email address is associated with your account.
All payments are issued in USD. Where earnings are calculated or reported in another currency, the final payment amount will be converted to USD at the exchange rate applied by PayPal at the time the payment is sent. Gay Films Matter is not responsible for exchange rate fluctuations, conversion fees, or charges imposed by PayPal or any intermediary.
All earnings reports and statements are presented in GBP, as Gay Films Matter is based in the United Kingdom.
Once a Short Film is approved and published on YouTube, you will have access to an account dashboard displaying performance metrics and earnings summaries based on data supplied by YouTube. Reported figures may be subject to adjustment or correction.
Gay Films Matter may create short excerpts, clips, or thumbnails derived from the Short Film solely for use on YouTube in connection with promoting the Short Film or the Gay Films Matter YouTube channel. No off platform promotional rights are granted under this agreement.
Gay Films Matter may remove the Short Film from the Gay Films Matter YouTube channel at any time and for any reason, including editorial, legal, policy, or commercial considerations. Removal may be immediate and does not require prior notice.
You may request removal of the Short Film from YouTube at any time. A 30 day notice period is required to process creator initiated removal requests, during which the Short Film may remain available and monetised.
If a Short Film has not yet been published on YouTube, any removal request or rejection voids this agreement in full.
This agreement automatically terminates upon removal of the Short Film from YouTube, except for provisions relating to payments, representations, warranties, indemnification, limitation of liability, and governing law, which survive termination.
You agree to indemnify and hold harmless Gay Films Matter from any claims, damages, losses, liabilities, costs, or expenses arising from breach of this agreement, infringement of third party rights, or failure to secure necessary licences or permissions.
To the maximum extent permitted by law, Gay Films Matter shall not be liable for indirect, incidental, or consequential losses, including loss of revenue or opportunity, arising from the YouTube publication, monetisation, or removal of the Short Film.
This agreement is governed by the laws of England and Wales. Any dispute arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
This agreement constitutes the entire understanding between the parties regarding YouTube publication of the Short Film and supersedes all prior discussions or communications. Any amendment or modification must be accepted electronically through the Gay Films Matter platform.
To prevent unnecessary copyright claims and ensure smooth monetisation on YouTube, you agree to take all reasonable steps to whitelist the Gay Films Matter YouTube channel in YouTube Content ID for the Short Film. This includes:
Failure to properly whitelist the channel or notify Gay Films Matter of potential Content ID issues may result in claims, demonetisation, or withholding of revenue, for which the filmmaker remains responsible.
By submitting the Short Film and confirming acceptance, you acknowledge that you have read, understood, and agreed to this Non Exclusive YouTube Distribution Licence Agreement and that you are legally authorised to grant the rights described herein.
